Terms of service

Article 1 Definitions

1.1 The platform: the service system through which RedsmsBox provides messaging capabilities to business customers and developers via https://redsmsbox.com/ and the associated APIs.

1.2 You: a legal person or other organisation that is lawfully registered and validly existing under the law of its place of establishment and is capable of performing the obligations under this agreement.

1.3 End user: the individual or organisation that ultimately uses your product or service and therefore receives messages sent through the platform.

1.4 Account: the account you register in your own name and use to access the platform's services.

Article 2 Scope of services

The specific content of the services is determined by the functionality the platform actually provides. We may adjust these terms in response to business and compliance requirements; the adjusted text will be published on this page, and your continued use of the services after publication is taken as acceptance of the adjustment.

Article 3 Your rights and obligations

3.1 Registration and use: registration details must be true and valid, and must be updated within one working day of any change. Ownership of the account rests with the platform; what you obtain is a right of use, which may not be transferred, leased or made available to others.

3.2 Account security: the account and password are yours to safeguard, and operations carried out under that account are treated as your own. If you discover theft or unauthorised use, you must notify us immediately and provide the necessary materials; we will verify and handle the matter in accordance with laws, regulations and the service rules.

3.3 Account closure: if you breach laws, regulations or this agreement, we may suspend or terminate some or all services, up to closing the account. We may also close an account that has not signed in for 12 consecutive months and holds no unexpired services.

3.4 Rules of use: you bear legal responsibility for your own use and for the rights and obligations between you and your end users. You must not use the platform to create, upload, send or disseminate content that is unlawful, infringes the rights of others, or interferes with the normal operation of the service.

3.5 Third-party services: where you obtain third-party products or services through the platform, whether they are suitable is for you to judge, and any dispute arising is to be resolved between you and that third party.

Article 4 The platform's rights and obligations

4.1 Where services must be suspended for network or system maintenance or upgrades, or where your cooperation is required, we will give you advance notice.

4.2 We provide you with the ability to query sending records, per-message status, billing and usage statistics.

4.3 We may adjust and upgrade the system and may establish or revise service rules; such rules form part of this agreement from the date of publication.

4.4 To prevent, detect and investigate fraud, security threats and violations, we may monitor how the services are used and suspend or terminate the services concerned on that basis.

4.5 Paid services: we may make some or all services chargeable and set the applicable rates. It is for you to decide whether to accept them; if you decline to pay the corresponding fees, we may stop providing that service.

Article 5 Confidentiality

Each party shall safeguard confidential information provided by the other with no less care than it applies to its own information of the same kind, and shall use it only for the purpose of performing this agreement.

Access to confidential information is limited to those officers and employees for whom it is genuinely necessary in order to perform; before they are given access, they must be informed of the confidentiality obligation and must confirm, in a recordable manner, that they accept the corresponding responsibility.

Article 6 Intellectual property

The intellectual property in the platform's text, images, documents, data, site structure and page design belongs to us or to the respective rights holders; none of it may be used, modified, copied, disseminated or published without written permission.

You must not remove, obscure, damage or alter copyright notices, trade marks or other rights markings of ours or of our affiliates on the products.

Article 7 Export control and sanctions laws

Both parties undertake to comply with applicable economic and trade sanctions and export control laws and regulations. You undertake not to use the platform's products or services for any purpose or party prohibited by those laws.

Article 8 Liability for breach

Where your use of the services in breach of this agreement gives rise to a third-party claim, action or other proceeding, you shall indemnify us against all resulting losses, including litigation costs, legal fees, settlement and compensation payments, and shall hold us harmless.

On discovering a breach, we may delete the information concerned, suspend or terminate the services without prior notice, and require you to cease the use in question immediately.

Article 9 Exclusions of liability

Messaging services are carried over the internet and carrier networks, and every link in that chain may fluctuate. We are not liable for interruption, delay or stoppage caused by power failure, line faults, maintenance and upgrades, viruses, network attacks or other causes beyond our reasonable control.

We are not liable for losses caused by service interruption arising from force majeure, network attacks, system failure or administrative measures, but we will inform you promptly and assist in dealing with the situation.

Article 10 Termination and assignment

The services terminate on any of the following: you cease use; you breach laws or regulations; force majeure occurs; or either party ceases business, becomes insolvent or is otherwise unable to continue performing.

You may not assign your rights or obligations under this agreement, in whole or in part, without our prior written consent.

Article 11 Governing law and dispute resolution

The formation, validity, performance, termination and interpretation of this agreement are governed by the laws of the mainland of the People's Republic of China. Where a dispute arises during performance, the parties shall first seek to resolve it through friendly consultation.

Article 12 Effect and interpretation of this agreement

This agreement consists of the main text together with the rules already published or published subsequently. We may revise the terms where necessary and reserve the right of interpretation; your continued use of the services after a change is taken as acceptance of that change.

This agreement is written in both Chinese and English. In the event of any inconsistency between the two, the Chinese version prevails.
